1. These terms and conditions cover the financial agreements between the Client and the Agency (Inter Regional Public Relations Ltd trading as FOUR) and supersede all other agreements unless agreed in writing. A comprehensive set of the Agency's full Terms of Business are available on request.

2. Invoicing
The Agency shall invoice the Client:

2.1 for all media costs, including broadcast, press, outdoor, leaflet distribution and on-line, at the time of booking. Rate or billing adjustments shall be credited or charged on the next regular invoice date, or as soon as otherwise practical. All discounts negotiated by the Agency will be rebated to the Client. Where the media commission is less than 15%, the net cost will be grossed up to earn the Agency 15% of the gross charge to the Client.

In certain circumstances eg; television airtime and leaflet distribution, payment will be required in advance, in which case the Client will be advised as soon as possible ahead of this requirement.

2.2 for design and production charges at the end of the month in which they were carried out. If such charges run across two months or more, they will be part charged monthly.

3. All invoices where practical or applicable shall be itemised.

4. Terms of payment
All invoices shall be due for payment within 28 days of being rendered unless special conditions apply. See clause 2.1 above.

In the event of a query arising on any part of an invoice, the balance of the invoice is subject to the normal terms of payment and settled within 28 days.

Late payment will be subject to interest charges calculated on a daily basis from the due date of the invoice. Interest will be charged in accordance with the UK Government Late Payment Legislation November 1998 and amended 7th August 2002. This currently recommends interest to be charged at the Bank of England base rate plus 8%. The Agency also reserves the right to claim debt recovery compensation at the level allowed under the above legislation.
